Infosys is poised to execute its largest-ever share buyback from November 20 to November 26, offering Rs 1,800 per share, reaffirming its financial health and commitment to shareholders. This Rs 18,000 crore initiative exceeds its prior buyback of Rs 9,300 crore conducted in 2022.
The buyback encompasses 10 crore fully paid-up shares of Rs 5 each, accounting for 2.41% of the company’s overall equity. Following this announcement, Infosys shares experienced a nearly 4% surge to Rs 1,541, driving the Nifty IT index up close to 3% to 36,970.85.
Understanding a Share Buyback
A share buyback refers to the process where a company reacquires its own shares from the market. The buyback price of Rs 1,800 per share signifies a premium exceeding 19% compared to its price at the announcement in September.
Categories and Eligibility
This buyback is divided into two segments: small shareholders and the general category. Small shareholders—those with holdings worth up to Rs 2 lakh—are granted a 15% reservation, ensuring favorable terms. The cutoff date for eligibility was November 14. The buyback ratio for small shareholders is set at 2:11, while the general category ratio stands at 17:706.
Benefits for Retail Investors
Promoters, who hold approximately 14.3% of Infosys, have chosen to withdraw from the buyback. This move boosts the acceptance rate for public shareholders, particularly retail investors, enhancing their potential gains.
Infosys co-founders and family members collectively own about 4% of the company. Their decision to abstain from the buyback conveys confidence in the company's future, positively influencing sentiment in the IT sector.
Tax and Financial Insights
Funds from the buyback are now taxed as dividends for shareholders. Investors in higher tax brackets may find it advantageous to sell shares in the market, whereas those in lower tax brackets might benefit from tendering their shares. Infosys is covering the buyback completely with internal cash reserves, showcasing its strong free cash flow and financial solidity.
