Charles Schwab Enhances Access to Private Markets with Forge Global Acquisition

In a significant move into private markets, Charles Schwab has agreed to purchase the private shares facilitating platform Forge Global for $660 million. This acquisition highlights the rising investor appetite for opportunities in high-growth companies prior to their public offerings, indicating a shift in Wall Street's approach to early-stage investments.

Founded in 2021 following a SPAC merger, Forge Global has become a key marketplace where investors have exchanged more than $17 billion in private company shares. Under Schwab’s offer, shareholders will receive $45 per share, reflecting a substantial 72% premium over Forge’s previous closing price, driving its stock up 67% during morning trading.

This deal signifies a broader trend wherein companies are prolonging their private status, prompting financial firms to facilitate access to pre-IPO shares. High-profile startups like OpenAI, SpaceX, and Bytedance are now valued similarly to major S&P 500 firms, underscoring the increasing significance of private market investments.

Schwab, whose market cap stands at $170 billion and oversees $11.6 trillion in assets for clients, aims to capitalize on the surging demand from investors. Experts believe the acquisition will expedite the rollout of new products while addressing concerns related to share dilution.

Set to close in the first half of 2026, the acquisition is being advised by J.P. Morgan Securities for Schwab, while Financial Technology Partners is collaborating with Forge’s special committee.

As activity in private markets continues to escalate, Schwab’s acquisition emphasizes the growing melding of public and private investment avenues, paving the way for investors to engage with the next wave of promising companies.
