AMD Signs Major AI Chip Deal with OpenAI, Offering Option to Take 10% Stake

AMD announced a groundbreaking deal with OpenAI, the company behind ChatGPT. Under this agreement, AMD will supply hundreds of thousands of AI chips to OpenAI over the next several years. The deal also gives OpenAI the option to buy up to 10% of AMD’s shares at a very low price.

This deal highlights the growing demand for AI technology and the race among companies to build powerful computing systems that can support advanced artificial intelligence.

1. Details of the Deal

The agreement between AMD and OpenAI is multi-year and covers the deployment of hundreds of thousands of AI chip known as graphics processing units (GPUs). These chips are powerful and designed to handle the heavy computing needs of AI systems.

OpenAI plans to build a one-gigawatt facility using AMD’s new MI450 series chips starting next year.

AMD expects this deal to generate tens of billions of dollars in annual revenue.

Over four years, AMD predicts the deal, combined with other clients, could bring in more than $100 billion in new revenue.

This partnership is considered a major milestone for both companies and shows confidence in AMD’s AI chip and software.

2. OpenAI’s Option to Buy AMD Shares

As part of the deal, AMD issued a warrant that allows OpenAI to buy up to 160 million shares of AMD for just 1 cent per share.

The shares will vest in tranches, which means OpenAI will gain the right to purchase shares in stages.

The first tranche will vest after the initial shipment of MI450 chips in the second half of 2026.

Later tranches depend on specific AMD stock price targets, potentially unlocking more shares if AMD performs well.

This gives OpenAI a financial stake in AMD, strengthening the partnership further.

3. Market Reaction

The news caused AMD shares to jump more than 23% in premarket trading. If this gain continues, AMD will open at its highest stock level since March 2024.

Analysts note that this deal not only benefits AMD financially but also boosts its reputation in the AI industry. Other companies are likely to follow, as OpenAI’s move could influence the broader AI ecosystem.

4. Significance for the AI Industry

This deal highlights the enormous appetite for AI computing power:

AI development requires massive processing capabilities, and AMD’s chips are key to enabling this.
